Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your purchase of Seedly Communities source code ("Product") and your use of the hosted Seedly Communities application ("Service"), both provided by Andrew Lee Jenkins LLC ("Company", "we", "us"). By purchasing the Product or using the Service, you agree to these Terms.
The Product is the Seedly Communities source code and associated documentation. Seedly Communities is a community platform (feed, chat, classroom, events, live sessions, and gamification) that you deploy from source you own, on infrastructure you control, to run communities for your own audience. The Product is sold as a one-time purchase of $399.
When Seedly Communities is purchased in the same checkout as Seedly CRM, a bundle price of $150 applies to Seedly Communities. The $150 price applies only to that same-checkout bundle purchase and is not available separately or retroactively.
2. Source Code License Grant
Upon purchase of the Product, we grant you a perpetual, non-exclusive, non-transferable license to:
- Use, copy, and modify the source code
- Deploy the Product in unlimited personal and client projects
- Run communities with unlimited members on a deployment you control
- Create derivative works for your own use or your clients' use
3. Source Code Restrictions
You may not:
- Redistribute, resell, sublicense, or share the source code in whole or in part
- Create a competing community platform template, boilerplate, or starter kit product using the source code
- Share your download link, license key, or access credentials with third parties
- Claim ownership of the original, unmodified source code
4. Delivery
After payment, you will receive a license key and download link via email. The download link provides access to a ZIP file containing the complete source code, setup documentation, and license file. Downloads are limited to 5 per license key and expire 30 days after purchase.
5. Product-Specific Terms - Seedly Communities
The following terms apply specifically to Seedly Communities and how it is used after purchase:
- Your Members Are Your Users - People who join a community you run on your deployment are your users, not ours. The Company has no contractual relationship with your members, does not provide them support, and is not responsible for your community's rules, moderation, or content. You are responsible for your own member terms and policies.
- Member Payments - Membership and course payments in your deployment flow through your own Stripe account, under your own agreement with Stripe. The Company never receives, holds, or processes your members' payments and charges a 0% platform fee on them. Refunds, disputes, and taxes on member payments are matters between you, your members, and Stripe.
- Live Video - Live-video features depend on a third-party video provider (such as Daily.co) that you contract with separately, under that provider's terms and pricing. The Company does not provide live-video service and is not responsible for third-party video availability.
- Bundle Pricing - The $150 price for Seedly Communities applies only when it is purchased in the same checkout as Seedly CRM. Purchased on its own, the Product is $399. The bundle price cannot be applied to a previous or separate purchase.
6. Hosted Service Terms
If you use a hosted Seedly Communities Service we operate (such as a live demo), as opposed to a deployment of the source code you run yourself, the following additional terms apply:
- Account Security - You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account
- Acceptable Use - You may not use the Service to send unsolicited messages (spam), store illegal content, or interfere with other users' access to the Service
- Your Data - You retain ownership of all data you enter into the Service. We do not claim any intellectual property rights over the data you store in the Service
- Data Processing - We process your data solely to provide the Service. We act as a data processor on your behalf for any customer data you store in the Service. See our Privacy Policy for details on sub-processors
7. Beta Program
If you participate in a beta or early access program, you acknowledge that:
- The Service may contain bugs, incomplete features, or unexpected behavior
- Features may be added, changed, or removed without notice
- We may collect feedback, screenshots, and usage data to improve the Service
- Beta access may be revoked at any time at our discretion
- We strongly recommend maintaining your own backups of critical data during the beta period
8. UK and EU Consumers - Right to Cancel
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK) and the EU Consumer Rights Directive, you normally have a 14-day right to cancel a distance purchase. However, this right does not apply to digital content that has been accessed or downloaded.
By completing your purchase, you expressly consent to immediate delivery of the digital content (source code) and acknowledge that you lose your right to cancel once the download link is provided. This consent is obtained during the checkout process.
9. Ownership
Andrew Lee Jenkins LLC retains all intellectual property rights to the original source code and the Service. Your license grants usage and modification rights but does not transfer ownership of the underlying intellectual property.
10. No Warranty
The Product and Service are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Product or Service will be error-free or meet your specific requirements.
11. Limitation of Liability
In no event shall Andrew Lee Jenkins LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Product or Service. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.
12. Third-Party Services
The Product and Service integrate with third-party services (Stripe, Convex, Vercel, Daily.co, Google, etc.). Your use of those services is governed by their respective terms and pricing. We are not responsible for third-party service availability, pricing changes, or terms.
13. Updates
Lifetime updates to the source code Product are provided at our discretion. Updates will be made available through the same download mechanism. The hosted Service is updated continuously. We are not obligated to provide updates on any particular schedule or to maintain backward compatibility.
14. Termination
We may terminate your license or Service access if you violate these Terms. Upon termination of the hosted Service, your data will be available for export for 30 days, after which it will be permanently deleted. Upon termination of the source code license, you must destroy all copies of the Product in your possession. Sections 9, 10, 11, and 12 survive termination.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
16. Affiliate Disclosure
Some links in our documentation, blog, and marketing materials point to third-party products and services. Certain of these are affiliate links, which means we may earn a commission if you sign up or make a purchase through them, at no additional cost to you. We only link to tools we use or recommend, and an affiliate relationship never affects the price you pay or the substance of our recommendations.
